1.Introduction & Acceptance
These Terms of Service ("Terms") govern your access to and use of SocialAPI.ai (the "Service"), operated by Erwan Prost (SIREN: 102198884), a company registered in France ("we", "us", "our").
By creating an account, accessing our API, using our MCP server, downloading our SDKs, or otherwise using our Service, you ("you", "Customer") agree to be bound by these Terms. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.
If you do not agree to these Terms, do not use the Service.
These Terms are effective as of 15/09/2025.
2.Definitions
- "API" means the SocialAPI.ai application programming interface, including all endpoints, documentation, and related tools.
- "API Key" means the unique authentication credential issued to your account for accessing the API.
- "API Data" means social media interactions, reviews, messages, and other content retrieved or sent through the API from third-party platforms on your behalf.
- "MCP Server" means the Model Context Protocol server provided as part of the Service for AI agent integration.
- "Platform" means any third-party social media or review platform accessible through our API (e.g., Instagram, Facebook, Google Reviews, TikTok, YouTube, X/Twitter, LinkedIn).
- "Credits" or "API Calls" means the metered usage units consumed when making requests to the API.
- "Customer Data" means all data you provide to us or that we process on your behalf through the Service.
- "Free Tier" means the no-cost plan with limited API access.
- "Paid Plan" means any subscription plan requiring payment.
3.Account Registration
3.1 Eligibility
You must be at least 18 years old and have the legal capacity to enter into binding agreements. If acting on behalf of an organization, you must be authorized to bind that organization.
3.2 Account Security
You are responsible for:
- Providing accurate and complete registration information
- Maintaining the confidentiality of your API keys and account credentials
- All activity that occurs under your account
- Promptly notifying us of any unauthorized use at security@social-api.ai
We are not liable for any loss arising from unauthorized use of your account.
3.3 One Account Per Entity
Each individual or organization should maintain only one account. Creating multiple accounts to circumvent usage limits, pricing, or enforcement actions is prohibited.
4.The Service
SocialAPI.ai provides a unified API that allows you to:
- Retrieve incoming social media interactions (comments, DMs, mentions) from connected platforms
- Retrieve and respond to reviews from review platforms (e.g., Google Reviews)
- Respond to interactions across platforms through a single API endpoint
- Connect AI agents via our native MCP server
- Access unified data schemas across all supported platforms
The Service acts as an intermediary between you and third-party platforms. We access these platforms using official APIs and your authorized credentials.
4.1 Service Modifications
We reserve the right to modify, update, or discontinue features of the Service at any time. We will provide reasonable notice for material changes. We will not remove core functionality from your current plan without offering an equivalent or allowing cancellation.
4.2 Beta Features
We may offer beta or experimental features. These are provided "as is" without warranty. We may discontinue beta features at any time without notice.
5.API Usage & Limits
5.1 Monthly Allowances
Each plan includes monthly allowances for connected accounts, posts, and interactions. Read operations (fetching comments, reviews, DMs, and mentions) are always free and do not count against any limit. A post is any piece of content published or scheduled to a platform. An interaction is any write action: replying to a comment, replying to a review, or sending a DM. Current allowances are published on our pricing page. Once a monthly limit is reached, the relevant write API calls return a 429 error until the limit resets at the start of your next billing period. We will notify you when you reach 80% and 100% of each allowance.
5.2 Fair Use
We reserve the right to throttle or temporarily restrict API access if we detect usage patterns that threaten service stability or indicate abuse (e.g., DDoS-like request patterns, credential stuffing attempts).
5.3 API Versioning
We version our API and will support deprecated versions for at least 6 months after announcing a new version. We will communicate version changes through our documentation and email notifications.
6.Acceptable Use
You agree to use the Service only for lawful purposes and in accordance with these Terms. You must:
- Comply with all applicable laws and regulations
- Comply with the terms of service and policies of each connected Platform
- Obtain all necessary consents and authorizations from your end-users before processing their data through our Service
- Use API Data in accordance with applicable data protection laws (GDPR, CCPA, etc.)
- Implement reasonable security measures to protect your API keys
7.Prohibited Uses
You may NOT use the Service to:
- Violate laws or regulations: Including data protection, anti-spam, consumer protection, and intellectual property laws.
- Spam or harass: Send unsolicited bulk messages, automated spam replies, or harassing content through the API.
- Scrape or circumvent: Use the API to scrape platform data beyond what the API provides, or to circumvent platform rate limits or restrictions.
- Fake engagement: Create fake reviews, fake comments, fake likes, or any form of artificial engagement.
- Impersonation: Impersonate other users, brands, or entities through the API.
- Resell raw API access: Resell or redistribute the API as a standalone service without adding substantial value.
- Malicious activity: Use the API for phishing, malware distribution, credential harvesting, or any harmful purpose.
- Circumvent billing: Create multiple accounts, use technical means to avoid usage tracking, or otherwise circumvent our billing system.
- Excessive load: Intentionally overload our infrastructure or interfere with service availability for other users.
- Violate platform policies: Use the API in ways that violate Instagram, Facebook, Google, TikTok, YouTube, X/Twitter, or LinkedIn's terms of service.
Violation of these restrictions may result in immediate suspension or termination of your account without refund.
8.Pricing, Billing & Payments
8.1 Plans & Pricing
Current pricing is published on our pricing page at https://social-api.ai/#pricing. We offer Hobby (free), Side Hustle ($29/mo), Full Send ($109/mo), Empire ($349/mo), and Enterprise (custom) plans.
8.2 Billing Cycle
Paid plans are billed monthly or annually in advance. Annual plans receive a discount as listed on the pricing page.
8.3 Payment Method
Payments are processed via Stripe. By subscribing, you authorize us to charge your payment method on a recurring basis.
8.4 Limit Exhaustion
When a monthly allowance (posts or interactions) is exhausted, the relevant write API calls return a 429 error until the limit resets at the start of your next billing period. Read operations are always unaffected. There are no overage charges. Upgrade your plan to raise your limits.
8.5 Price Changes
We may change pricing with at least 30 days' written notice. Price increases will not affect your current billing cycle. You may cancel before the new pricing takes effect.
8.6 Taxes
All prices are exclusive of applicable taxes (VAT, sales tax, etc.). Taxes will be calculated and added based on your billing location.
8.7 Refunds
- Monthly plans: No refunds for partial months. You may cancel at any time and retain access until the end of your billing period.
- Annual plans: Pro-rated refund available if you cancel within the first 30 days. No refunds after 30 days.
- Accounts terminated for Terms violations are not eligible for refunds.
8.8 Failed Payments
If a payment fails, we will attempt to charge your payment method up to 3 times over 10 days. If all attempts fail, your account will be downgraded to the Free Tier. Your data and configuration will be preserved for 30 days to allow you to resolve the payment issue.
9.Free Tier
The Free Tier is provided at no cost with the following conditions:
- 2 brands, 10 posts/month, 50 interactions/month
- Access to all platforms and all features, including replies and DMs
- Access to the MCP server
- Community support only (no SLA)
- We reserve the right to modify Free Tier limits with 30 days' notice
- Free Tier accounts inactive for 90 consecutive days may be suspended (with email warning 14 days before suspension)
The Free Tier is intended for evaluation and development purposes. Commercial use at scale should upgrade to a Paid Plan.
10.Intellectual Property
10.1 Our IP
SocialAPI.ai, including our API, MCP server, SDKs, documentation, website, branding, and all related materials, is owned by Erwan Prost and protected by intellectual property laws. These Terms do not grant you any ownership rights in the Service.
10.2 Your IP
You retain all rights to your Customer Data. You retain all rights to applications and products you build using our API.
10.3 License to Use the Service
We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service in accordance with these Terms and your subscription plan.
10.4 API Output
Data retrieved through our API originates from third-party Platforms. The intellectual property rights to that content belong to the original creators and are governed by each Platform's terms. We make no ownership claim over API Data.
10.5 Feedback
If you provide feedback, suggestions, or improvement ideas, we may use them without obligation to you.
10.6 Open-Source Components
Our MCP server and SDKs may include open-source components. These components are subject to their respective open-source licenses, which are documented in the relevant repositories.
11.Data Processing & Privacy
11.1 Privacy Policy
Our Privacy Policy explains how we collect, use, and protect personal data. It is incorporated into these Terms by reference.
11.2 Data Processing Agreement (DPA)
For customers subject to GDPR who require a Data Processing Agreement, we provide a standard DPA upon request. Contact legal@social-api.ai to request a DPA.
11.3 Your Obligations as Data Controller
When you use our API to process end-user data from social media platforms, you are the data controller. You are responsible for:
- Having a lawful basis for processing that data
- Informing your end-users about data processing
- Honoring data subject access requests from your end-users
- Complying with all applicable data protection regulations
11.4 Zero-Storage Architecture
We do not persistently store the content of social media interactions, reviews, or messages that pass through our API. Data is fetched in real-time from platform APIs and relayed to you. Temporary caching (maximum 5 minutes) may occur for performance purposes.
12.Third-Party Platforms
12.1 Platform Dependencies
The Service relies on third-party Platform APIs (Instagram/Meta, Google, TikTok, YouTube, X/Twitter, LinkedIn). We do not control these platforms. Platform API changes, outages, deprecations, or policy changes may affect the Service.
12.2 Your Platform Accounts
You are responsible for maintaining valid credentials and complying with each Platform's terms of service. If a Platform revokes your access, we cannot provide Service for that Platform.
12.3 No Guarantee of Platform Availability
We will make commercially reasonable efforts to maintain Platform integrations and to respond to breaking changes within 24-48 hours. However, we cannot guarantee uninterrupted access to any Platform. Platform availability is not covered by our SLA.
12.4 Platform Data Accuracy
We relay data as received from Platform APIs. We do not guarantee the accuracy, completeness, or timeliness of data provided by third-party Platforms.
13.Availability & SLA
13.1 Uptime Target
We target 99.9% uptime for our API infrastructure (excluding scheduled maintenance and third-party Platform outages).
13.2 SLA (Paid Plans)
Customers on paid plans receive:
- 99.9% API uptime guarantee (measured monthly, excluding Platform outages)
- If we fail to meet 99.9% uptime in a calendar month, you are entitled to a service credit of 10% of that month's fees for each full 0.1% below the target, up to a maximum of 30%
- SLA credits must be requested within 30 days of the incident
13.3 Scheduled Maintenance
We will provide at least 24 hours' notice for scheduled maintenance. Maintenance windows will be scheduled during low-traffic hours when possible.
13.4 Enterprise SLA
Enterprise customers may negotiate custom SLA terms. Contact sales@social-api.ai.
14.Limitation of Liability
14.1 Service Provided "As Is"
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
14.2 Limitation of Damages
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:
- OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE TOTAL AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.
- WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR REPUTATION.
- WE SHALL NOT BE LIABLE FOR ANY LOSS OR DAMAGE RESULTING FROM THIRD-PARTY PLATFORM CHANGES, OUTAGES, OR POLICY MODIFICATIONS.
14.3 Exceptions
Nothing in these Terms excludes or limits liability for fraud, gross negligence, willful misconduct, death or personal injury caused by our negligence, or any liability that cannot be excluded under applicable law (including EU consumer protection laws).
15.Indemnification
You agree to indemnify, defend, and hold harmless Erwan Prost, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from:
- Your use of the Service
- Your violation of these Terms
- Your violation of any third-party Platform's terms of service
- Your processing of personal data through the Service in violation of applicable data protection laws
- Any content you send, publish, or distribute through the Service
16.Termination
16.1 Termination by You
You may cancel your subscription at any time through your account dashboard or by contacting support@social-api.ai. Cancellation takes effect at the end of your current billing period.
16.2 Termination by Us
We may suspend or terminate your account:
- Immediately, if you violate Section 7 (Prohibited Uses)
- With 14 days' notice, for any other material breach of these Terms that remains uncured
- With 30 days' notice, for any reason (with a pro-rated refund for annual plans)
16.3 Effect of Termination
Upon termination:
- Your API keys will be deactivated
- Your access to the dashboard and API will cease
- We will retain your account data for 30 days (in case of accidental cancellation), then delete it
- Billing data will be retained as required by law (see Privacy Policy)
16.4 Survival
Sections on Intellectual Property, Limitation of Liability, Indemnification, Governing Law, and Data Processing survive termination.
17.Modifications to Terms
We may modify these Terms at any time. For material changes:
- We will provide at least 30 days' notice via email
- We will post the updated Terms on our website with a summary of changes
- Your continued use of the Service after the effective date constitutes acceptance
- If you disagree with changes, you may terminate your account before the changes take effect
Non-material changes (typo corrections, clarifications) may be made without advance notice.
18.Governing Law & Disputes
18.1 Governing Law
These Terms are governed by and construed in accordance with the laws of France and the European Union, without regard to conflict of law provisions.
18.2 Dispute Resolution
Any disputes arising from these Terms or the Service shall be resolved as follows:
- Informal resolution: Contact us at legal@social-api.ai. We will attempt to resolve disputes informally within 30 days.
- Mediation: If informal resolution fails, disputes shall be submitted to mediation under the rules of the Centre de Médiation et d'Arbitrage de Paris (CMAP).
- Courts: If mediation fails, disputes shall be submitted to the exclusive jurisdiction of the courts of Paris, France.
18.3 EU Consumer Rights
If you are an EU consumer, you may also use the Online Dispute Resolution platform at https://ec.europa.eu/consumers/odr. Nothing in these Terms affects your mandatory consumer rights under EU law.
19.Miscellaneous
19.1 Entire Agreement
These Terms, together with our Privacy Policy and any applicable DPA, constitute the entire agreement between you and us regarding the Service.
19.2 Severability
If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
19.3 No Waiver
Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
19.4 Assignment
You may not assign your rights under these Terms without our written consent. We may assign our rights and obligations in connection with a merger, acquisition, or sale of assets.
19.5 Force Majeure
We shall not be liable for any failure to perform due to circumstances beyond our reasonable control, including natural disasters, pandemics, government actions, internet outages, or third-party Platform failures.
